Fonsai, letter from Sator and Palladio with a request for clarification

New episode of the duel on the fate of Fonsai. Yesterday, in a letter drawn up by the lawyers Cannizzaro and D'Angelo, Sator and Palladio called the top management of the Milanese insurance company to account regarding the independence of the capital increase with respect to the integration project with Unipol. The 1,1 billion recapitalization could, in fact, make the merger unnecessary and invalidate the takeover bid exemptions on the merger plan. The letter, addressed to the chairman of the board of directors Jonella Ligresti, to the board of statutory auditors and, for information, to Consob and Isvap, also requests clarifications regarding the mandate conferred on Mediobanca for the creation of the underwriting syndicate. Again in the letter, clarifications are also requested on the independence of the company's stand-alone industrial plan. In the meantime, Isvap urged Premafin to quickly convene the meeting for the Fonsai capital increase during the Board meeting, scheduled for 30 March.

That of Sator and Palladio is not the only letter that came to the attention of the Fonsai board yesterday. According to Il Messagero, the American fund Amber asked why the 98-page report containing the reconstruction of some trades carried out by Fonsai, already the subject of a complaint by the American investor, was not read during the shareholders' meeting. With regard to these correlated transactions, the mayors of the company were heard by the Public Prosecutor Luigi Orsi as witnesses.
