Enel sells photovoltaic portfolio in Chile to Sonnedix for 550 million dollars

Enel sells assets in Chile for 550 million dollars. The Italian multinational and its listed subsidiary Enel Chile have signed a share purchase agreement with Sonnedix Chile Arcadia and Sonnedix Chile Arcadia Generación, both companies controlled by the international renewable energy producer Sonnedix, which provides for the sale of the entire stakes held by Enel (about 0,009%) and its subsidiary (about 99,991%) in the share capital of Arcadia Generacion Solar, a Chilean company that owns a portfolio of four photovoltaic systems. The plants are located in the Atacama and Antofagasta regions in the northern part of Chile and have approximately 416 MW of installed capacity in total. The finalization of the sale is subject to certain conditions precedent that are usual for this type of transaction, including clearance by the Chilean antitrust authority Fiscalía Nacional Económica (FNE). 

"The transaction is in line with Enel Chile's Strategic Plan, as it contributes to the objective of value creation through the diversification and optimization of the capital and portfolio of Enel Chile and its subsidiaries," the company said in a statement. a note.

The agreement requires the buyers to pay a total consideration of 550 million dollars (approximately 504 million euros) for the entire shareholding, corresponding to 100% of the enterprise value agreed by the parties. As a result, the transaction is expected to have a positive impact on thenet borrowing of approximately 504 million euros and on the reported Group net profit for 2023 equal to approximately 20 million euros. On the other hand, the transaction does not have any impact on the Group's ordinary economic results.

The four photovoltaic plants that make up the portfolio are: Diego de Almagro (36 MW, operational since 2014), Pinto Race (97 MW, operational since 2016), Pampa Solar Norte (79 MW, operational since 2016) e Domeyko (204 MW, operational from 2022), which together generate approximately 1 TWh per year of net generation.

Enel also sells 50% of EGP Austrialia

Enel, through its wholly owned subsidiary Enel Green Power, today signed an agreement with Inpex Corporation, for the sale of 100% of the two companies that own all of the Group's assets in Australia, specifically Enel Green Power Australia Pty Ltd and Enel Green Power Australia Trust, currently wholly owned by EGP, for a total consideration of approximately 50 million euros in enterprise value, referred to 400%, of which approximately 100 million euros in debt.
