Enel takes over the Chilean subsidiary and reaches 64,9% of the share capital. The group announced that it has completed the acquisition of a further 3% in Enel Chile as announced at the time to the market. The capital increase took place following “the settlement of two operations of share swap entered into in December 2019 with a financial institution”.
On the basis of these two transactions, Enel acquired:
- 1.502.106.759 ordinary shares of Enel Chile; And
- 11.457.799 American Depositary Shares (“ADS”) of Enel Chile, each of which represents 50 ordinary shares of Enel Chile.
As expected, the total consideration paid for the ordinary shares and ADS of Enel Chile amounts to approximately 174 million US dollars, equal to approximately 154 million euros and was financed from cash flows from current operations.
"The transactions indicated above - concludes the note - are in line with the objective announced by the Enel Group to increase its shareholding in the Group companies operating in South America, thus reducing the presence of minority shareholders".
