Enel Open Fiber, new board: Bassanini president, Pompeii remains CEO

The council will remain in office for two years. Acquisition of Metroweb completed, negotiations continue with F2i on remaining in the company with a 30% stake

OpEn Fiber SpA (OF), the new name of Enel OpEn Fiber, completed the acquisition of 100% of Metroweb Italia SpA from F2i SGR and FSI Investimenti for a consideration of approximately 714 million. The financial resources for the aforementioned acquisition derive from the capital contributions of Enel and CDP Equity, which as of today hold an equal stake in OF. In order to reflect the new shareholding structure, OF's Shareholders' Meeting has appointed a new Board of Directors, which will remain in office until the approval of the financial statements as at 31 December 2018 and which is composed of: Franco Bassanini (chairman), Tommaso Pompei, Guido Rivolta, Elisabetta Ripa, Francesca Di Carlo and Francesca Romana Napolitano. The new BoD, which met immediately after the Shareholders' Meeting, confirmed Tommaso Pompei as CEO of OF.

As regards the option to purchase up to 30% of OF's capital granted by Enel and CDP Equity to F2i, negotiations between the parties are continuing to define the terms. Under the agreements, even in the event of reinvestment by F2i, Enel and CDP Equity will exercise joint control over OF.
