Enav, shareholders' meeting confirms balance sheet and dividend

The Enav shareholders' meeting met on Friday 26 April to approve the company's financial statements for the 2018 financial year. The following figures were confirmed: revenues of €889,7 million (+0,9% compared to 2017); EBITDA 297,4 million euros (+4,9% compared to 2017); operating result (EBIT) 164,4 million euros (+12% compared to 2017); net result 114,4 million euros (+12,7% compared to 2017); net financial debt 1,9 million euros. The shareholders' meeting, which recorded a high participation equal to 80% of the capital, also resolved to pay the shareholders a dividend of 108.240.528,123 euros, equivalent to 0,1998 euro per ordinary share. Payment of the dividend will take place on May 22, 2019, with coupon detachment set for May 20, 2019 and record dates on 21 May 2019. The notice of payment of the dividend will be published in at least one national economic and financial newspaper on 27 April 2019.

Based on the lists filed by the shareholder Ministry of the Economy and Finance (List 1) and by a group of asset management companies and other institutional investors (List 2), the Shareholders' Meeting proceeded to appointment of the members of the Board of Statutory Auditors for the three-year period 2019-2021 in the persons of Dario Righetti (List 2), as Chairman and Franca Brusco (List 1) and Pierumberto Spanò (List 1), Standing Auditors, as well as Roberto Cassader (List 2) and Francesca Parente (List 1) as Alternate auditors. The Shareholders' Meeting also resolved to confirm the remuneration due to the regular members of the Board of Statutory Auditors, at 40.000 euros gross per year for the Chairman of the Board of Statutory Auditors and 25.000 euros gross per year for each standing Auditor. Finally, the assembly confirmed the Director Nicola Maione as Chairman of the Board of Directors.
