Publishing, the transfer of control of Gedi from Cir to Exor on April 23rd

The completion of the Cir-Exor operation, announced last December and which leads the financial holding company of the Agnelli family to acquire 43,78% of the GEDI publishing group, is approaching. Following the release of the necessary authorizations by the competent authorities, including the European Commission and AgCom, CIR (Compagnie Industriali Riunite) and Exor have therefore communicated that the completion of the transaction announced on 2 December 2019, relating to the purchase by Exor of the 43,78% stake in the capital of GEDI Gruppo Editoriale held by CIR, the holding company of the De Benedetti family, will take place on 23 April 2020.

The set price is that of 0,46 per share, which corresponds to an amount of 102,4 million. Once the purchase transaction has been completed, Exor will proceed, through a newly established joint-stock company, to promote a mandatory takeover bid on the outstanding GEDI shares not already held, according to the methods and times established by current regulations and under the same conditions already mentioned (0,46 per share).
