Digital Magics SpA, business incubator listed on the AIM Italia market, organized and managed by Borsa Italiana, announces that from Monday 22 May 2017 the "Warrant Digital Magics 2017-2022" will be tradable on the AIM Italia market. On the same date, the Warrants will be assigned, free of charge and without the need for further requests, to the holders of ordinary shares of Digital Magics SpA who will receive "Warrant Digital Magics 2017-2022" in the ratio of 1 (one) Warrant for each number 4 (four) shares held, as already described in the context of the capital increase project approved on 27 April. The maximum number of outstanding Warrants will be equal to 1.643.278.
Remember that the exercise of the Warrants is envisaged in six periods over five years, in October of each year from 2017 to 2022. The exercise price of the Warrants is set at increasing values over time, as follows:
(i) Euro 5,75 starting from the first day of the month of October and until the last day of the month of October of the year 2017 (the "First Exercise Period";
(ii) Euro 6,35 starting from the first day of October and until the last day of October of the year 2018 (the "Second Exercise Period");
(iii) Euro 6,95 starting from the first day of October and until the last day of October of the year 2019 (the "Third Exercise Period");
(iv) Euro 7,55 starting from the first day of October and until the last day of October of the year 2020 (the "Fourth Exercise Period");
(v) Euro 8,15 starting from the first day of October and until the last day of October of the year 2021 (the "Fifth Exercise Period");
(vi) Euro 8,75 starting from the first day of the month of October and until the last day of the month of October of the year 2022 (the "Sixth Exercise Period") (each of these exercise periods, individually a " Exercise Period” and collectively the “Exercise Periods”).
