"The purchase by FSI of a stake in Saipem from Eni and the signing by Eni and FSI of a shareholders' agreement" does not imply "an obligation for Eni and FSI to make a public purchase offer". Consob writes it in a resolution on the operation that will lead the Italian strategic fund (controlled by Cassa depositi e prestiti, in turn in the hands of the Treasury) to buy 12,5% of the plant engineering company of the Eni group for 463 million .
"The transaction is in fact attributable to the hypothesis of exemption for transfers between subjects linked by significant shareholding relationships", explains the Commission.
