BoD: Telecom postpones decision upon request Vivendi – Ntv, board decays, Chairman and CEO remain

Telecom postpones the Board of Directors to the next few days to make a decision on Vivendi's request to appoint 4 of its directors – Ntv moves towards a new Board of Directors: the Board of Directors has resigned. The Chairman and Chief Executive Officer remain.

Postponed to the next few days Telecom Board on Vivendi's request to appoint four of its directors. The council scheduled for today will instead be held in the next few days by telephone, on a date yet to be communicated.

Meanwhile, yesterday it became known that the management committee of Assogestioni had sent a letter to invite the board to take a position on the request for integration of the board advanced by the French group. The four names chosen by Vivendi are the ceo Arnaud de Puyfontaine, the cfo Herve' Philippe, the coo Stephane Rousell and the independent Felicite' Herzog.

As scheduled, it was held on NTV board of directors. The Board of Directors "acknowledged with satisfaction the subscription of the second tranche of the capital increase as well as the statutory amendment aimed at allowing a more streamlined composition of the Administrative Body" reads a press release. 

Furthermore, the Directors have tendered their resignations giving mandate to the Chairman and the Chief Executive Officer to convene, in a short time, the Shareholders' Meeting for the composition of the new BoD. The decision to resign comes to allow for a more streamlined composition of the administrative body.
