Campari: mergers and demergers in the Luxembourg galaxy

The Luxembourg galaxy that controls Campari is changing its face. Based on what has been reconstructed by the Radiocor agency and what can be read in the documents filed in recent days in the Grand Duchy, the Lagfin holding, custodian through Alicros of the majority of Campari, has absorbed Jalfin and Ldr, which controlled 99% of the same Lagfin and which at the end of 2017 they set up two new financial companies through demerger, to which they transferred most of the assets.

Artemisia Management and Aurantium also belong to the same galaxy as the Garavoglia family, holding the remaining 1% of Lagfin.

The shareholders' meetings of the companies involved in the 'reverse merger' held last July 12 kicked off the operation approved by the board of directors on May 28, on the basis of which Jalfin and Ldr, companies created in 1995, were absorbed by Lagfin and "have ceased to exist".

"The objective of the merger - reads the documents - is a purely internal restructuring of the group which has the sole purpose of simplifying the chain of control of Lagfin Sca (a limited partnership by shares, ed), with the transmission of the entire ”.

After the merger, Lagfin's capital is divided between 24.750 limited shares and 250 limited shares held halfway between Artemisia Management and Aurantium,
