Banca IMI approves financial statements: here is the new Board of Directors

IMI Bank, the investment bank of the Intesa Sanpaolo Group, announces that the Shareholders' Meeting, which met on Tuesday 16 April on first call, approved in the Extraordinary part the proportional partial demerger of Banca IMI SpA in favor of Eurizon Capital SGR and in the Ordinary part it: – approved the financial statements as at 31 December 2018; – approved the dividend distribution proposal; – appointed the Board of Directors and the Board of Statutory Auditors for the three-year period 2019-2021. The data already disclosed on 5 February and 26 February 2019 are confirmed, in particular the consolidated net result of 803 million euros and the dividend of 192,5 million euro in favor of the parent company Intesa Sanpaolo. With regard to the Bodies, in order to give continuity to them, the Shareholders' Meeting decided to confirm both the composition of the Board of Directors and that of the Board of Statutory Auditors.

The Board of Directors is therefore composed as follows: Gaetano Miccichè, Giuliano Asperti, Giuseppe Attanà, Aureliano Benedetti, Fabio Buttignon, Vincenzo De Stasio, Paolo Maria Vittorio Grandi, Massimo Mattera, Mauro Micillo, Gerardo Pisanu, Fabio Alberto Roversi Monaco. Giulio Stefano Lubatti (Chairman), Carlo Maria Augusto Bertola and Stefania Mancino and – as Alternate Auditors – Giovanni Brondi and Alessandro Cotto were appointed for the Board of Statutory Auditors. The minutes of the Ordinary Shareholders' Meeting for the approval of the 2018 Financial Statements will be made available within the terms established by current legislation. Following the appointment of Gaetano Miccichè as Chairman by the Shareholders' Meeting, the new Board of Directors, which met at the end of the meeting, appointed Mauro Micillo as Chief Executive Officer of the banking group's investment bank. Giuliano Asperti and Fabio Roversi Monaco have assumed the position of Vice-Presidents.
