Banca Ifis and Furstenberg: generational change among the controlling shareholders

Ernesto Furstenberg Fassio, son of the historic Chairman of Banca IFIS Sebastien Egon von Fürstenberg, becomes the majority shareholder of La Scogliera spa (of which he is managing director) and consequently of the Venetian bank, of which La Scogliera is the parent company with 50,5 % of capital. The handover without inheritance tax was authorized by the ECB on 22 May and consists of the transfer to the young manager, became vice president of Banca IFIS a year ago, of the bare ownership of 1.130.682 ordinary shares of La Scogliera, representing approximately 51% of the share capital and related voting rights. Sebastien Egon von Fürstenberg, who founded Banca IFIS in 1983, remaining at the top for almost 30 years, will still maintain a 22,65% share of the capital

Ernesto Furstenberg Fassio is, therefore, the new indirect controlling shareholder of Banca IFIS and will maintain control of La Scogliera for a period of no less than 5 years from the date of the transfer. “I believe – commented the president Sebastien Egon von Fürstenberg – that the moment of generational change within subjects with multiple interests, such as banks and their parent companies, must be addressed in time, when the more experienced people, like myself, still have the desire and energy to add value, supporting those who will be the future. I founded Banca IFIS in 1983, supporting its development and growth which characterizes it and which has allowed, over the last 25 years, the increase in shareholders' equity of approximately 1,5 billion and the distribution of approximately 0,4 billion in dividends" .

"The experience gained over the years as CEO of La Scogliera - added his son Ernesto - has allowed me to appreciate the importance of stable ownership structures. My father's will to continue to follow the activities of the holding company and Banca IFIS, while guaranteeing a gradual generational turnover aimed at facing the challenges of the future with incisiveness, is the demonstration of our family's full commitment to the development of the 'Institute'. Banca IFIS, controlled by La Scogliera, closed 2019 with a net profit of 123,1 million euros and with a net worth of 1,54 billion euros.

In the short term, the generational change among the controlling shareholders will not change anything in Banca Ifis on an operational level but, if we consider that to open the bank's board doors to his son Ernesto, the chairman Sebastien Egon von Furstenberg did not hesitate to defenestrate the 'then To Giovanni Bossi, and that now we are witnessing the transfer of the controlling share package, it is clear that the role of the young heir is destined to grow to the top of the Mestre institute.
