Terna, closing for the sale of the electricity transmission business in South America

In execution of the agreement signed on 29 April, Terna Plus and Terna Chile, a company of
Terna Group, sold the companies owning three electricity lines in Brazil to CDPQ, for
a value of over 145 million euros – Capital gain of over 60 million euros

company of Terna Group, today completed the financial transaction for the sale to CDPQ, a global investment group, of the companies "SPE Santa Maria Transmissora de Energia SA","SPE Santa
Lucia Transmissora de Energia SA
"and "SPE Transmissora de Energia Linha Verde II SA”, owners
of three power lines in Brazil for a total of 670km, for an equity value of over 145
million euros.

The sale of the other projects in Brazil, Uruguay and Peru will be completed in several consequent phases
upon fulfillment of certain conditions. Overall, the transaction is part of the broader strategy of refocusing the international presence of the Terna Group, already announced with the update of the Industrial Plan 2021-2025.

The group assisted the Terna Group in the operation, as financial advisor Santander Corporate & Investment Banking, while the international law firm DLA Piper, together with Pinheiro Neto Advogados, provided legal support.

The Terna Group, thanks to the significant investments made in the region in the last five years and its distinctive skills, has contributed to the sustainable development of resilient and fully digitized infrastructures with the involvement of local communities. The transaction will allow the Terna Group to build a capital gain of more than 60 million euros.
