Maire strengthens its position in hydrogen: M&A worth 3,6 million and contract with Eni worth 123 million

Two goals in two days. Objective: to strengthen ourselves in the hydrogen sector. Mayor, the group listed on Euronext Milan that deals with the transformation of natural resources, after announcing yesterday an important contract with the Eni refinery in Livorno, today announces a new acquisition in Italy.

Nextchem acquires control of Hydep and Dragoni Group

Its subsidiary Nextchem today signed a binding agreement for theacquisition of 80% of HyDep and 100% of Dragoni Group, both Italian engineering services companies, well-known in the mechanical and electrochemical sectors, with strong expertise in process design and over 20 years of experience in the engineering sector.green hydrogen, including patents. Mario and Matteo Dragoni, founders and current shareholders of both entities, will retain management of the companies, which will continue to operate independently on their respective markets.

Il purchase price of the two quotas is approximately 3,6 million euros. The agreement also includes a clause earn-out based on the achievement of technical objectives within 30 months of closing, as well as put and call options on the remaining 20% share of HyDep exercisable within 36 months of closing. Closing is estimated for the second quarter of 2024.

“This acquisition marks an important step in further strengthening NextChem's capabilities ingreen hydrogen, paving the way for the development of our value proposition in electrolysis technology” he says Alessandro Bernini, CEO of Maire. “HyDep's process expertise will strongly support the development of innovative solutions for low-carbon ammonia and methanol production.”

Contract with Eni to produce hydrogen in Livorno

Yesterday the Maire group, through its subsidiary Kinetics technology (Kt), was awarded a contract Energy performance (Epc) from Eni for the construction of a plant for hydrogen production in the Eni refinery in Livorno which will be transformed into biorefinery. The overall value of the contract is 123 million, with the project expected to be completed in 2026, a statement said. The plant, which will be designed and built by Kt, will process natural gas and biogenic raw materials such as food waste such as cooking oils and animal fats, as well as residues from the agri-food industry, for produce hydrogen intended for biofuel production for mobility.

The plant was designed so that a residual carbon dioxide capture unit could be implemented at a later stage. The construction of the new unit is part of the Eni group's project convert the Livorno plant in a biorefinery (as already done in Venice and Gela), announced in 2022 and then confirmed at the beginning of this year. “We are proud of this important result achieved with Eni” said Bernini. “Among the Italian excellences in the energy sector, Maire confirms its role as a supplier of innovative technologies and integrated engineering services, contributing to the decarbonisation of transport through the increase in the production of biofuels”.
